Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you," "your," or "User") and Sellovate ("Sellovate," "we," "us," or "our") governing your access to and use of the Sellovate website, dashboard, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, do not access or use the Service.

Sellovate provides a suite of AI-assisted tools built for sellers of digital products on Etsy, including an AI image generator, an AI listing optimizer, an Etsy research tool, a mockup creator, a designer brief generator, and sales analytics (collectively, the "Tools"). The Tools rely in part on third-party AI providers and infrastructure to generate content and analysis.

We may add, modify, suspend, or discontinue any part of the Service, including individual Tools, at any time, with or without notice. We are not liable to you or any third party for any such change.

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account. You must provide accurate, current, and complete information during registration and keep it up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at the contact address below if you suspect unauthorized use of your account.

Sellovate offers a Free plan and paid subscription plans (currently Pro and Studio), billed monthly or annually as selected at checkout. Paid subscriptions are processed by our payment processor, Stripe, and are subject to Stripe's own terms.

• Subscriptions automatically renew at the end of each billing period unless cancelled before renewal.
• You may cancel at any time from your dashboard; cancellation takes effect at the end of the current billing period.
• Fees are billed in advance and, except where required by law, are non-refundable, including for partial billing periods or unused usage allowances (such as AI image generation credits).
• We may change subscription pricing with at least 30 days' notice; continued use after a price change takes effect constitutes acceptance of the new pricing.
• Each plan includes specific usage limits (for example, monthly AI image generations, export counts, or connected shops). Exceeding these limits may restrict further use of the affected Tool until your usage resets or you upgrade your plan.

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party right, including intellectual property, publicity, or privacy rights;
• Generate, upload, or distribute content that is unlawful, infringing, fraudulent, deceptive, or that violates Etsy's or any other marketplace's policies;
• Reverse engineer, decompile, scrape, or attempt to extract the underlying models, prompts, or source code of the Service;
• Interfere with or disrupt the integrity or performance of the Service, including through excessive automated requests;
• Use the Service to build a directly competing product or to train a competing AI model; or
• Circumvent usage limits, access controls, or subscription tiers.

We may suspend or terminate accounts that violate this section without prior notice.

The Service integrates with third-party platforms and providers, including Etsy (for shop and listing data), Stripe (for payment processing), and AI infrastructure providers used to power image generation and text generation features. Your use of these integrations is also subject to the applicable third party's terms of service.

We are not responsible for the availability, accuracy, or conduct of third-party services, including changes made by Etsy to its API, policies, or marketplace rules that may affect the functionality of the Service.

The Tools use artificial intelligence to generate images, text, and recommendations ("Generated Content") based on your prompts and inputs ("Your Content"). You retain ownership of Your Content, and, to the extent permitted by applicable law and the underlying AI providers' terms, you own the Generated Content produced from your use of the Tools, subject to your compliance with these Terms.

AI-generated output can be inaccurate, generic, or resemble the output produced for other users from similar prompts. You are solely responsible for reviewing Generated Content before publishing it, including verifying it does not infringe third-party intellectual property rights, before listing it for sale on Etsy or elsewhere.

By submitting Your Content, you grant Sellovate a worldwide, non-exclusive, royalty-free license to host, process, and use Your Content solely to operate, maintain, and improve the Service.

The Service, including its software, design, branding, and documentation (excluding Your Content and Generated Content), is owned by Sellovate and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own business purposes, subject to these Terms.

THE SERVICE AND ALL GENERATED CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY RESEARCH, ANALYTICS, OR RECOMMENDATIONS PROVIDED WILL RESULT IN ANY PARTICULAR SALES OUTCOME.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SELLOVATE AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO SELLOVATE IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold Sellovate harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, Your Content, Generated Content you publish or sell, or your violation of these Terms or applicable law.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, if required by law, or if we discontinue the Service.

Sections that by their nature should survive termination (including Sections 7–11 and 14) will survive.

We may update these Terms from time to time. If we make material changes, we will provide notice, such as by email or an in-product notice, before the changes take effect. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the United States and the state in which Sellovate is incorporated, without regard to conflict-of-laws principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in that jurisdiction, and you consent to their exclusive jurisdiction and venue.
